Introduction and Acceptance
These Terms govern use of the Site and any Services expressly made available under these Terms from time to time. Any regulated financial product or service may be subject to separate product-specific terms, eligibility requirements and regulatory disclosures.
Y9K ("Y9K," "we," "us," or "our") operates and is expanding across multiple countries, and these Terms are intended to apply globally as a baseline agreement, supplemented where necessary by country-specific terms, disclosures, or regulatory licenses required in a given market (a "Local Supplement"). Where a Local Supplement applies to you, it forms part of these Terms and takes precedence over this document to the extent of any conflict, for users in that jurisdiction.
Y9K's default legal entity for the purposes of these Terms is Y9K Innovations Limited DIFC," a company established in the Dubai International Financial Centre, United Arab Emirates save where a Local Supplement identifies a different local operating entity for a specific market.
By accessing the Site, creating an account, or using any Service, you agree to be bound by these Terms and our Privacy Policy (incorporated by reference). If you do not agree, you must not access or use the Site or Services.
If you are using the Services on behalf of a business (e.g., as a merchant, supplier, or distributor), you represent that you have authority to bind that business, and "you" refers to both you and that business.
Eligibility
To use the Services, you must:
Be at least 18 years old (or the age of legal majority in your jurisdiction, if higher);
Have the legal capacity to enter into a binding contract;
Not be barred from using the Services under the laws of your country or any applicable sanctions, anti-money-laundering, or export-control regime; and
If registering a business account, be duly authorized to act on behalf of that business.
We may refuse to open an account, or may suspend or close an existing account, if we reasonably believe you do not meet these requirements or if required by law or regulation.
Nature of the Services
Y9K provides trade infrastructure, not general-purpose banking alone. The Services include, without limitation:
Y9K Bank: digital account opening, credit assessed from trading activity rather than traditional collateral, a payments wallet, and embedded savings/insurance products.
Y9K Vault: cross-border settlement and currency conversion, including the use of stablecoins or other digital assets as a settlement mechanism.
Y9K Marketplace: ordering of stock from verified suppliers, wholesale pricing, and credit-based purchasing ("buy now, pay from sales") with delivery logistics.
Some Services are offered directly by Y9K; others may be offered in partnership with, or facilitated through, licensed banks, payment institutions, or other regulated third parties ("Partners"). Where a regulated Service is provided by a Partner, the Partner's applicable terms, disclosures and regulatory protections will apply to that Service, and Y9K's role may be limited to a technology, platform, facilitation or agency function. Unless expressly stated otherwise, Y9K does not receive deposits, hold customer funds, issue regulated credit, provide insurance, execute regulated payment services, or provide regulated digital-asset services on its own account in any jurisdiction where it is not appropriately licensed or authorized to do so. We will identify Partner arrangements where required by applicable law.
Certain Services (in particular, credit, banking, payments, and digital asset services) may only be available in specific countries, and may be subject to additional licensing, registration, or regulatory requirements that vary by market. Availability of any Service in your country does not imply regulatory approval in every market Y9K operates in or may expand to.
Product Names and Regulatory Status. References to "Y9K Bank", "Y9K Vault", "Y9K Marketplace" and other Y9K product names are product or platform names and do not, by themselves, represent that Y9K is licensed as a bank, deposit-taking institution, payment service provider, virtual asset service provider, insurer, or other regulated financial institution in any jurisdiction. Where regulated services are made available, they may be provided by appropriately licensed Y9K entities or third-party Partners, as disclosed to you.
Account Registration, KYC, and Security
You must provide accurate, current, and complete information when registering, and keep it up to date.
You will be required to complete identity verification (KYC) and, for businesses, beneficial ownership verification (KYB), including submission of government-issued identification and business documentation, as part of account opening and on an ongoing basis, in compliance with applicable anti-money-laundering (AML) and counter-terrorist-financing (CTF) laws.
You are responsible for maintaining the confidentiality of your login credentials, PINs, and any authentication method used to access your account, and for all activity that occurs under your account.
You must notify us immediately at support@y9k.ai if you suspect unauthorized access to or use of your account.
We may decline, delay, or reverse a transaction, or suspend an account, where required for fraud prevention, sanctions compliance, AML/CTF obligations, or other legal or regulatory reasons.
Credit, Payments, and Financial Risk Disclosures
5.1 Credit is not guaranteed. Access to credit through Y9K Bank or Y9K Marketplace is determined using automated and AI-assisted credit scoring based on your trading, transaction, and repayment history. Approval, credit limits, and pricing are not guaranteed, may change over time, and are subject to our sole discretion and applicable regulatory requirements.
5.2 Repayment obligations. If you are extended credit, you are responsible for repaying the full amount owed, including any applicable fees or interest, in accordance with the terms disclosed to you at the time of the transaction. Failure to repay may affect your credit standing within the Y9K network, result in restricted access to the Services, and may be reported where legally required or contractually agreed. Failure to repay may also result in legal action for recovery of the outstanding amount, including referral to debt collection agencies and recovery of associated legal and collection costs to the extent permitted by applicable law.
5.3 Fees and exchange rates. Fees for transfers, credit, and marketplace transactions, and applicable exchange rates for cross-border settlement, will be disclosed to you before you confirm a transaction. Exchange rates may fluctuate and are not guaranteed until a transaction is executed.
5.4 Digital assets. Where Y9K Vault uses stablecoins or other digital assets as part of settlement, you acknowledge that digital assets carry inherent risks, including but not limited to price volatility (for non-stablecoin assets), regulatory uncertainty, technology risk, blockchain network delays or congestion, smart-contract or protocol risk, counterparty risk, custody risk, de-pegging risk, liquidity constraints, transaction finality, and changes in applicable law or regulatory treatment. Where digital assets are used solely as an underlying settlement rail, this does not necessarily mean that you acquire, hold, custody, or transact directly in the relevant digital asset. The specific settlement structure and the role of any licensed Partner will be disclosed where applicable. Y9K does not provide financial, investment, or legal advice regarding the use of digital assets, and no content on the Site should be construed as such.
5.5 No deposit insurance representation. Unless expressly stated for a specific product and jurisdiction, funds held through the Services may not be covered by government deposit insurance schemes. Any such coverage will be disclosed separately where applicable.
5.6 Transaction Instructions and Finality. You are responsible for ensuring that all transaction instructions, beneficiary details, wallet addresses, payment information, and other instructions submitted through the Services are accurate and authorized. Transactions may be subject to cut-off times, processing windows, network conditions, Partner requirements, compliance screening, and applicable law. To the extent permitted by applicable law, a transaction may become final and irreversible once submitted to or confirmed by the relevant payment network, banking rail, blockchain network, Partner, or other settlement infrastructure. Y9K or a Partner may delay, reject, block, cancel, or reverse a transaction where technically possible and reasonably necessary to address an error, suspected fraud, unauthorized activity, sanctions or AML/CTF concerns, insufficient funds, a legal or regulatory requirement, or a failure of the relevant network or service provider. Y9K is not responsible for delays or failures caused by third-party networks, Partners, incorrect information supplied by you, or circumstances beyond our reasonable control, subject always to liability that cannot lawfully be excluded.
Marketplace Transactions
Orders placed through Y9K Marketplace are subject to supplier acceptance, stock availability, and delivery logistics, which may vary by region.
Y9K facilitates connections between merchants and verified suppliers but is not itself the seller of goods unless expressly stated. Unless Y9K is expressly identified as the seller for a particular transaction, Y9K acts solely as operator of the Marketplace and does not take title to goods offered by third-party suppliers; the contract for sale of those goods is between the merchant and the relevant supplier. Product quality, description accuracy, and fulfillment are primarily the responsibility of the supplier, though we take reasonable steps to verify suppliers on the platform.
Disputes regarding goods ordered through the Marketplace should first be raised with us at support@y9k.ai so we can facilitate resolution with the relevant supplier.
Acceptable Use
You agree not to:
Use the Services for any unlawful purpose, including money laundering, terrorist financing, fraud, or sanctions evasion;
Provide false, misleading, or stolen identity or business information;
Attempt to gain unauthorized access to the Site, Services, or other users' accounts;
Interfere with, disrupt, or place undue burden on the Services (including through malware, scraping, or denial-of-service activity);
Reverse-engineer, decompile, or attempt to extract source code from the Services, except where permitted by law;
Use the Services to circumvent credit assessments (e.g., through collusive or artificial trading activity designed to inflate creditworthiness); or
Use the Services in a manner that infringes the rights of Y9K, other users, suppliers, or third parties.
We may suspend or terminate access for any violation of this Section, in addition to any other remedies available to us.
Intellectual Property
The Site, Services, and all related content, trademarks, logos, software, and materials (excluding user-submitted content and third-party materials) are owned by Y9K or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for their intended purpose. No other rights are granted. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.
User Content. You retain ownership of content, data, documents, images, information, and other materials that you submit, upload, transmit, or otherwise make available through the Services ("User Content"). You grant Y9K and its service providers a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, transmit, display, and otherwise use User Content solely to the extent reasonably necessary to provide, secure, support, improve, and administer the Services, comply with applicable law, and perform our obligations to you. This licence does not transfer ownership of your User Content to Y9K and does not authorize Y9K to sell or commercially exploit your personal data independently of the purposes described in our Privacy Policy. You represent that you have the rights and permissions necessary to provide User Content to us for these purposes.
Third-Party Services and Links
The Site and Services may contain links to, or integrate with, third-party websites, banking rails, payment networks, or service providers (including Partners referenced in Section 3). We do not control and are not responsible for the content, accuracy, or practices of third parties. Your use of third-party services is subject to their own terms and privacy policies.
Virtual Assistant / Chatbot
Where we provide a virtual financial assistant (chatbot) or other AI-assisted support tools, responses are generated automatically and are provided for informational and support purposes only. They do not constitute financial, legal, tax, or investment advice, and may occasionally be inaccurate or incomplete. For account-specific or transaction-critical matters, please confirm information with a human support representative.
Disclaimers
To the maximum extent permitted by applicable law:
The Site and Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, secure, timely, or error-free, or that credit scoring, fraud detection, or other automated systems will be free of error.
Nothing on the Site or in the Services constitutes financial, investment, legal, or tax advice. You should seek independent professional advice before making financial decisions.
Nothing in these Terms excludes or limits any warranty, right, or liability that cannot lawfully be excluded or limited under the law of your jurisdiction (including, where applicable, consumer protection or financial services law).
Limitation of Liability
To the maximum extent permitted by applicable law, Y9K, its affiliates, officers, employees, and Partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of, or inability to use, the Site or Services, even if advised of the possibility of such damages.
Where liability cannot be excluded, our aggregate liability to you for any claim arising out of or relating to these Terms or the Services will not exceed the fees paid or payable by you to Y9K in respect of the Service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim, except to the extent a different limitation or remedy is required by mandatory applicable law.
This Section does not limit liability for fraud, willful misconduct, gross negligence, or death or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable law.
Indemnification
You agree to indemnify and hold harmless Y9K, its affiliates, officers, employees, and Partners from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of applicable law; (c) your fraudulent, willful, reckless, or unlawful use of the Services; or (d) content or information you submit through the Services, except to the extent caused by our own breach, negligence, or willful misconduct.
Suspension and Termination
We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, where: (a) required by law, regulation, or a regulator/court order; (b) we reasonably suspect fraud, AML/CTF risk, or misuse; (c) you breach these Terms; or (d) we discontinue a Service in your market. You may close your account at any time by contacting support@y9k.ai, subject to settlement of any outstanding obligations (including outstanding credit balances).
Provisions that by their nature should survive termination (including Sections 8, 11, 12, 13, and 16) will survive.
Changes to the Services and These Terms
We may modify, suspend, or discontinue any part of the Services, and may update these Terms, at any time. Where changes are material, we will provide reasonable notice (e.g., via the Site, email, or in-app notification) before they take effect, except where a change is required immediately for legal, regulatory, or security reasons. Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.
Governing Law and Dispute Resolution
Because Y9K operates across multiple countries, the governing law and dispute resolution process applicable to you may be specified in a Local Supplement for your country. In the absence of a country-specific provision, these Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Dubai International Financial Centre ("DIFC"), United Arab Emirates.
The courts of the DIFC shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms (including any question regarding their existence, validity, or termination), and the parties irrevocably submit to the jurisdiction of the DIFC Courts. Where a Local Supplement provides for arbitration or another dispute resolution mechanism for a particular market or Service, that mechanism will apply in accordance with the Local Supplement.
Nothing in this Section is intended to override any mandatory consumer protection, financial services, or dispute-resolution right available to you under the law of your country of residence, where such rights cannot be contractually waived.
Regulatory Notices
Y9K's products may be provided directly by Y9K or in partnership with licensed banks, payment service providers, or other regulated entities, depending on your country. Applicable licensing information, regulatory disclosures, and supervisory authority details for your country (where required) will be made available via a Local Supplement, in-app disclosures, or on request at support@y9k.ai.
General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any applicable Local Supplement, constitute the entire agreement between you and Y9K regarding the Services, superseding any prior agreements.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be interpreted to best reflect its original intent.
No Waiver: Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure: We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, network or infrastructure outages, government action, or regulatory changes.
Electronic Communications: You consent to receive communications from us electronically (e.g., email, SMS, in-app notifications), and agree that such communications satisfy any legal requirement that they be in writing.
Language: Where these Terms are translated into another language, the English version will prevail in case of conflict, unless otherwise required by local law.
